How a Florida articles of incorporation is used in Romania
This is occasional for Romania. A Florida company that becomes a shareholder in a Romanian SRL, opens a branch, or buys property will be asked by the National Trade Register Office (ONRC) or a Romanian notary for proof of how it was formed and who represents it. Florida apostilles a certified copy of the articles from the Division of Corporations, including amendments, not a Sunbiz printout. Expect a legalized Romanian translation and a company resolution naming the person who will act, signed before a Florida notary.

An original certified copy issued by the Division of Corporations; not a Sunbiz printout or photocopy, and not a notarized copy, since Florida notaries can't attest copies of public records. Add certified amendments, name changes or conversions if the company's current name or structure differs from the original filing.
Request a certified copy from the Division with the entity name, document number, document type and filing date. The Florida Department of State also accepts a certified-copy request filed together with the apostille request, paid with two separate checks, which we can file for you. The Division's own fee (listed at $8.75 for a corporation and $30 for an LLC at this writing) is not included in our $220.

Who receives it in Romania — and translation
Citizenship applications are decided by the National Citizenship Authority (Autoritatea Națională pentru Cetățenie, ANC), with files often submitted through Romanian consulates. Transcription of foreign birth, marriage and death certificates is done by the civil-status offices (starea civilă) of Romanian town halls or by a Romanian consulate. Romanian notaries handle powers of attorney and successions, Romanian tribunals recognize foreign judgments, and CNRED recognizes foreign degrees. Florida is served by the Consulate General of Romania in Miami.
Our standard for a translation is a translator's certification, notarized by a different notary, with its own Florida apostille. Romanian civil-status offices instead expect the translation to be legalized in Romania by a public notary (from a translator authorized in Romania) or certified by a Romanian consular office; a translation made abroad before a foreign notary must itself carry an apostille. Ask the office receiving your file which version it accepts before you pay.
Romanian citizens must have a foreign civil-status event transcribed within six months of returning to Romania or receiving the foreign certificate. A parent's consent for a Romanian child to leave Romania can cover a period of up to three years. For other documents, ask the receiving office how recent it wants them.
