How a Florida articles of incorporation is used in China

This is the core China business order. A Florida company setting up a foreign-invested enterprise registers with the local Administration for Market Regulation, which needs proof the foreign investor exists. Since November 7, 2023, Chinese city governments explain that investors from Convention countries only need an apostille, not consular authentication. Expect certified articles from the Florida Division of Corporations, usually with a certificate of status and a board resolution, all with sealed Chinese translations. Names must match across every document.

Getting a articles of incorporation Florida will apostille

An original certified copy issued by the Division of Corporations; not a Sunbiz printout or photocopy, and not a notarized copy, since Florida notaries can't attest copies of public records. Add certified amendments, name changes or conversions if the company's current name or structure differs from the original filing.

Request a certified copy from the Division with the entity name, document number, document type and filing date. The Florida Department of State also accepts a certified-copy request filed together with the apostille request, paid with two separate checks, which we can file for you. Who receives it in China — and translation

Work permits go through local foreign-expert and work-permit offices; residence permits through public security bureaus' exit-entry offices; companies through local Administrations for Market Regulation; marriages through civil affairs marriage registration offices; and inheritances through Chinese notary offices. The Embassy of China in Washington, D.C. serves Florida, but it no longer authenticates U.S. documents for mainland China.

China generally requires a full Chinese translation sealed by a translation agency, often one registered in China, or by the employer for work-permit files. A Florida translation, even certified, notarized and apostilled, may not be accepted, so ask the Chinese office first.

Work-permit rules require a criminal record certificate issued within six months, and Beijing's marriage registration rules treat a single-status document as valid for six months. Other offices set their own limits.
