How a Florida articles of incorporation is used in Germany
A Florida company opening a German branch (Zweigniederlassung) must register it in the commercial register (Handelsregister), through an application signed before a German notary or with a certified signature. The register court wants proof that the company exists and who represents it, starting with the articles certified by the Florida Division of Corporations and apostilled, plus a German translation by a sworn translator. German banks also check beneficial owners. Allow time: register courts often ask follow-up questions about how a Florida LLC's managers are appointed.
Getting a articles of incorporation Florida will apostille
An original certified copy issued by the Division of Corporations; not a Sunbiz printout or photocopy, and not a notarized copy, since Florida notaries can't attest copies of public records. Add certified amendments, name changes or conversions if the company's current name or structure differs from the original filing.
Request a certified copy from the Division with the entity name, document number, document type and filing date. The Florida Department of State also accepts a certified-copy request filed together with the apostille request, paid with two separate checks, which we can file for you. The registrar's office (Standesamt) handles marriages, birth registrations and name declarations; births of children who never lived in Germany go to Standesamt I in Berlin. State justice departments recognize foreign divorces, probate courts (Nachlassgerichte) issue certificates of inheritance, and German notaries and land registries handle property. Recognition of qualifications runs through state authorities and the ZAB. The Consulate General of Germany in Miami serves Florida.
German offices that require a translation usually want one by a translator sworn, publicly appointed or authorized under German state law, searchable in the state justice administrations' database. Our general rule is a translation certified by the translator, notarized by a separate notary and apostilled in Florida; some German offices accept it, but many will instead require a sworn German translator.
