How a Florida certificate of status is used in Germany
German register courts, notaries and banks want current proof that a foreign company exists and who represents it, often called an Existenz- und Vertretungsnachweis. The Sunbiz certificate of status proves the existence part but doesn't list managers or officers, which is where many German filings stall. Pair it with a certified annual report or a notarized officer's certificate stating who can sign, both apostilled and translated by a sworn translator. Order the certificate close to your filing date, because German notaries usually reject one that's several months old.
Getting a certificate of status Florida will apostille
The original certificate of status, or a new certificate requested together with the apostille; never a photocopy or scan. It can only show the company as active if the annual report is filed and the entity hasn't been dissolved, and it speaks only for the date it was issued.
Order it from the Division online or by mail (listed at $8.75 for corporations, $5 for LLCs and $8.75 for partnerships by mail), or let us request a fresh certificate with the apostille using the two separate payments the state requires. The Division's fee is not included in our $220.
State fee for this document: $10 — included in our price. Full details on the certificate of status apostille page.
Who receives it in Germany — and translation
The registrar's office (Standesamt) handles marriages, birth registrations and name declarations; births of children who never lived in Germany go to Standesamt I in Berlin. State justice departments recognize foreign divorces, probate courts (Nachlassgerichte) issue certificates of inheritance, and German notaries and land registries handle property. Recognition of qualifications runs through state authorities and the ZAB. The Consulate General of Germany in Miami serves Florida.
German offices that require a translation usually want one by a translator sworn, publicly appointed or authorized under German state law, searchable in the state justice administrations' database. Our general rule is a translation certified by the translator, notarized by a separate notary and apostilled in Florida; some German offices accept it, but many will instead require a sworn German translator. For recognition of a Florida divorce, plan on the apostille plus a sworn German translation. Translate after the apostille, including the apostille page.
To marry in Germany, the birth certificate must not be older than six months. Other offices set their own limits, so ask; German notaries and register courts also tend to reject corporate certificates that are several months old.
