A Florida company that buys property in Spain, invests in a Spanish S.L. or opens a branch needs a Spanish tax ID (NIF) and has to prove before a Spanish notario that it exists and who may act for it. Certified articles from the Florida Division of Corporations, apostilled and sworn-translated, establish the existence part. The branch route also involves the Registro Mercantil, which reads the company's purpose and structure closely. Florida articles don't name current officers, so expect to add a certificate of status and a signed resolution or power.
Getting a articles of incorporation Florida will apostille
An original certified copy issued by the Division of Corporations; not a Sunbiz printout or photocopy, and not a notarized copy, since Florida notaries can't attest copies of public records. Add certified amendments, name changes or conversions if the company's current name or structure differs from the original filing.
Request a certified copy from the Division with the entity name, document number, document type and filing date. The Florida Department of State also accepts a certified-copy request filed together with the apostille request, paid with two separate checks, which we can file for you. The main receivers are the Registro Civil (in Spain, or the Registro Civil Central) for marriages, births and deaths; Spanish notarios for property, powers and inheritances; the Ministry of Justice for nationality files; universities and the education ministry for degree recognition; and Spanish consulates in the U.S. for visas and civil registrations. The Consulate General of Spain in Miami serves Florida.
