How a Florida articles of incorporation is used in Venezuela
This is occasional. It comes up when a Florida company owns or buys property in Venezuela, becomes a shareholder in a Venezuelan company, or opens a branch, and the SAREN commercial registry (registro mercantil) or a Venezuelan notary needs to see how the company was formed and who represents it. Florida apostilles a certified copy of the articles from the Division of Corporations, including amendments, not a Sunbiz printout. Plan for an official translation, and ask your Venezuelan lawyer whether a resolution naming the company's representative is also needed.
Getting a articles of incorporation Florida will apostille
An original certified copy issued by the Division of Corporations; not a Sunbiz printout or photocopy, and not a notarized copy, since Florida notaries can't attest copies of public records. Add certified amendments, name changes or conversions if the company's current name or structure differs from the original filing.
Request a certified copy from the Division with the entity name, document number, document type and filing date. The Florida Department of State also accepts a certified-copy request filed together with the apostille request, paid with two separate checks, which we can file for you. The Division's own fee (listed at $8.75 for a corporation and $30 for an LLC at this writing) is not included in our $220.
State fee for this document: $10 — included in our price. Full details on the articles of incorporation apostille page.
Who receives it in Venezuela — and translation
Births and marriages that happened abroad are recorded at the municipal registro civil offices. SAIME issues cédulas and passports once the birth is registered. Powers of attorney, property and companies go through notaries and registries under SAREN (Servicio Autónomo de Registros y Notarías), and estates involve the succession declaration filed with SENIAT. Venezuelan consular services in the U.S. have been disrupted for years, so check current availability before relying on a consulate.
Our standard for a translation is a translator's certification, notarized by a different notary, with its own Florida apostille. Venezuela may instead require an intérprete público: under the Ley de Intérpretes Públicos (2022), official translations with public faith are made by titled translators registered in the national registry kept by the Ministry of Interior, Justice and Peace. Ask the registro civil, notary or registry which version it accepts, and translate after the apostille.
We could not verify a general age limit for Florida documents in Venezuela. The clock that matters most is birth registration: the Chacao registry, for example, sets 90 days after the birth before a late-registration letter is needed.
