How a Florida certificate of status is used in Dominican Republic
Where the articles show how a Florida company was formed, the Sunbiz certificate of status shows it's active today, and Dominican banks, notaries and the Registro Mercantil ask for it when the company opens an account, signs a sale or renews its registration. Budget for two apostilles here: the certificate itself and its Spanish translation, which Dominican offices usually want apostilled separately. That's our two-document price of $380. Order the certificate from the Division of Corporations close to your filing date, since an old certificate may be questioned.
Getting a certificate of status Florida will apostille
The original certificate of status, or a new certificate requested together with the apostille; never a photocopy or scan. It can only show the company as active if the annual report is filed and the entity hasn't been dissolved, and it speaks only for the date it was issued.
Order it from the Division online or by mail (listed at $8.75 for corporations, $5 for LLCs and $8.75 for partnerships by mail), or let us request a fresh certificate with the apostille using the two separate payments the state requires. The Division's fee is not included in our $220.
State fee for this document: $10 — included in our price. Full details on the certificate of status apostille page.
Who receives it in Dominican Republic — and translation
The Dirección General de Migración (DGM) handles residency and minors' exit permits. The Junta Central Electoral runs the civil registry through its Oficialías del Estado Civil and records births, marriages and deaths of Dominicans abroad, usually through the consulates. MESCyT recognizes higher-education degrees, the Dirección General de Impuestos Internos issues tax IDs and handles inheritance tax, and the Registro de Títulos records property transfers. MIREX authenticates Dominican documents, not Florida ones.
Dominican offices usually want the Spanish translation to carry its own apostille. The translator certifies the translation of the original and its apostille, a separate Florida notary notarizes that certification (the translator can't be the notary), and we apostille the notarized translation as a second document, so an original plus translation is our two-document price of $380. Some Dominican offices may instead want the translation made in the Dominican Republic; ask the office that will receive your file.
Minors' exit permits from the DGM are valid for 90 days once approved. For other documents, ask the receiving office how recent they must be; criminal-record certificates are the most time-sensitive, and freshly certified vital records avoid the pre-2014 signature problem.
